Hasbro UK have put out a press release today, whilst at the UK Toy Fair, about Transformers: Animated and Transformers Universe, both coming later this year. Animated is due to start in March with the toys and cartoon and Universe in Autumn/Winter, which could mean around September, just after North America.

2007 was a hugely successful year for Transformers, with a blockbuster movie supporting an ever popular toy range. 2008 is set to be just as exciting with the release of the new Transformers: Animated series. Hitting TV screens from march, it’s a great twist to the classic story of the “robots in disguise”

Transformers: Animated Broadcast Channels

Entertainment Rights, the UK based company that specialises in worldwide media, has put out a press release about the broadcasters who are going to show the new series. ER have also distributed Armada, Energon and Cybertron in recent years.

The series will be appearing on Nickelodeon in the UK, Gulli in France and Super RTL in Germany. Deals for other territories are currently being finalised and should be announced soon.

Transformers: Animated Premiere Ratings

 Cartoon Network has put out a press release with the ratings for the Transformers: Animated premiere episode, “Transform and roll out”, which was shown on 26th December in the USA.

The show seemed to do very well, with the episode being #1 for its time period on all TV for boys aged 2-11 and 6-11.

Activision + Vivendi = Activision Blizzard

In possibly the most surprising news in ages, gaming companies Activision and Vivendi have decided to merge and call themselves Acitivision Blizzard. The reason for the new name is that World of Warcraft developer Blizzard Entertainment is owned by Vivendi and is seen as a better name to keep.

The interesting Transformers related points here are, now with Activision, the Transformers game rights holder, being on the same team as the WoW guys, we could see the possibility of a Transformers MMORPG or regular strategy or something else apart from a regular action shooter.

SANTA MONICA, Calif. & PARIS, Dec 02, 2007 (BUSINESS WIRE) —
Activision, Inc. (NASDAQ: ATVI) and Vivendi (Euronext Paris: VIV)
today announced that they have signed a definitive agreement to
combine Vivendi Games, Vivendi’s interactive entertainment business —
which includes Blizzard Entertainment’s(R) World of Warcraft(R), the
world’s #1 multi-player online role-playing game franchise — with
Activision, creating the world’s largest pure-play online and console
game publisher. The new company, Activision Blizzard, is expected to
have approximately $3.8 billion in pro forma combined calendar 2007
revenues and the highest operating margins of any major third-party
video game publisher. On closing of the transaction, Activision will
be renamed Activision Blizzard and will continue to operate as a
public company traded on NASDAQ under the ticker ATVI.

Activision, one of the world’s leading independent publishers of
interactive entertainment, is best known for its top-selling
franchises, including Guitar Hero(R), Call of Duty(R) and the Tony
Hawk series, as well as Spider-Man(TM), X-Men(TM), Shrek(R), James
Bond(TM) and TRANSFORMERS(TM). Blizzard Entertainment, a division of
Vivendi Games, has projected calendar 2007 revenues of $1.1 billion,
operating margins of over 40% and approximately $520 million of

Structure & Terms of Transaction

Under the terms of the agreement, Vivendi Games will be merged with a
wholly owned subsidiary of Activision. In the merger, shares of
Vivendi Games will be converted into 295.3 million new shares of
Activision common stock. Based on the transaction price of $27.50 per
share of Activision common stock, this implies a value of
approximately $8.1 billion for Vivendi Games. Concurrently with the
merger, Vivendi will purchase 62.9 million newly issued shares of
Activision common stock at a price of $27.50 per share – a premium of
31% to Activision’s average closing price over the past 20 trading
days – for a total of $1.7 billion in cash. As a result of these
transactions, Vivendi will own an approximate 52% ownership stake in
Activision Blizzard on a fully diluted basis.

Within five business days after closing the transaction, Activision
Blizzard will launch a $4 billion all-cash tender offer to purchase up
to 146.5 million Activision Blizzard common shares at $27.50 per
share. The tender offer will be funded by Activision Blizzard’s cash
on hand at closing, including the $1.7 billion in cash received from
the Vivendi share purchase. In addition, Vivendi has agreed to acquire
from Activision Blizzard additional newly issued shares for up to an
additional $700 million of Activision common stock at $27.50 per
share, the proceeds of which would also be used to fund the tender
offer. Any remaining funds required to complete the tender offer will
be borrowed by Activision Blizzard from Vivendi or third-party
lenders. If the tender offer is fully subscribed, Vivendi will own an
approximate 68% ownership stake in Activision Blizzard on a fully
diluted basis.

The transaction is expected to be immediately accretive in its first
year post-closing for Activision’s stockholders and slightly accretive
for Vivendi’s stockholders. Activision Blizzard is targeting pro forma
operating income of $1.1 billion and pro forma earnings per share
(EPS) in excess of $1.20 in calendar year 2009. The transaction is
expected to be at least $0.20 accretive to Activision stockholders in
calendar year 2009.

Governance

Activision Blizzard’s board of directors will be comprised of eleven
members: six directors designated by Vivendi, two Activision
management directors and three independent directors who currently
serve on Activision’s board of directors. Rene Penisson, currently a
member of the Management Board of Vivendi and Chairman of Vivendi
Games, will serve as Chairman of Activision Blizzard. Brian Kelly,
currently Co-Chairman of Activision, will serve as Co-Chairman of
Activision Blizzard. The three independent directors will be Richard
Sarnoff, Robert J. Corti and Robert Morgado. Other Activision Blizzard
directors will be Robert Kotick (President and Chief Executive Officer
of Activision Blizzard), Bruce Hack (Vice-Chairman and Chief Corporate
Officer of Activision Blizzard), Jean-Bernard Levy (Chairman of the
Management Board and Chief Executive Officer of Vivendi), Doug Morris
(Chairman and Chief Executive Officer of the Universal Music Group),
Philippe Capron (Member of the Management Board and Chief Financial
Officer of Vivendi), and Frederic Crepin (Senior Vice President, Head
of Legal, Vivendi).

Management

Following the completion of the transaction, Robert Kotick will be
President and Chief Executive Officer of Activision Blizzard. Bruce
Hack, current Chief Executive Officer of Vivendi Games, will serve as
Vice-Chairman and Chief Corporate Officer of Activision Blizzard,
accountable for leading the merger integration and the finance, human
resources and legal functions. Mike Griffith will serve as President
and Chief Executive Officer of Activision Publishing, which after
closing will include the Sierra Entertainment, Sierra Online and
Vivendi Games Mobile divisions in addition to the Activision business.
Mike Morhaime will continue to serve as President and Chief Executive
Officer of Blizzard Entertainment. Thomas Tippl, currently Chief
Financial Officer of Activision, will be appointed Chief Financial
Officer of Activision Blizzard and Jean-Francois Grollemund, currently
Chief Financial Officer of Vivendi Games, will be appointed Chief
Accounting Officer of Activision Blizzard.

Transformers Animated Premier: 5th January 2008

Cartoon Network and Hasbro have sent out a press release for the airing of the premier of Transformers Animated in North America. The new cartoon series will start off with a 90 minute movie on 26th December at 8 p.m. (ET, PT), titled “Transform and Roll Out!”.

The series will kick off proper on 5th January next year on Cartoon Network Saturday at 10:30 a.m. (ET, PT).

There is currently no news on any international release but expect a torrent online shortly after the premier.

There’s more than meets the eye when Cartoon Network premieres a 90-minute feature presentation of Transformers Animated Movie “Transform and Roll Out!” on Wednesday, December 26, 2007 at 8 p.m. (ET, PT). The adventure begins when Optimus Prime and his small crew of Autobots come into possession of the AllSpark, a powerful Cybertronian artifact that attracts the attention of their long-forgotten enemies, the Decepticons, and sends them crashing to a strange and distant planet known as Earth.

The movie kicks off the brand new series, Transformers Animated, set to premiere on Cartoon Network Saturday, January 5, 2008 at 10:30 a.m. (ET, PT). Set on Earth in the near future in Detroit, the series begins when the alien Transformers are thrust into a world populated by humans and automatons. As visitors to Earth, the Transformers –Optimus Prime, Bumblebee, Prowl, Bulkhead and Ratchet– work in the human world, interacting with the ‘natives’ in exciting and humorous ways. Following the Autobots across the galaxy to their new home, is the megalomaniacal Megatron and his army of ruthless Decepticons, a brutal race of war-mongering robots who seek to use the AllSpark as their ultimate weapon of destruction!

The Autobots unlikely guide through Earth society is a brash, energetic 8-year-old girl named Sari Sumdac, the adopted daughter of a robotics magnate. Setting the Autobots up with their headquarters in an old abandoned auto plant on the outskirts of town, Sari not only becomes an “honorary Autobot” by enlightening them on such mysteries of Earth life such as megamalls, holovision, hoverboards, junk food, and basic hanging out, but also becomes a vital component of the team in their adventures. For the AllSpark endows Sari with a very special power, one the Decepticons would love to get their hands on, not to mention the AllSpark itself.

Auto Assembly 2008 Officially Announced + Guests (4 NOW)

Good news everyone, we have a UK Transformers convention for 2008. Simon and Sven are back with Auto Assembly 2008 on Saturday 2nd August 2008 at the Clarendon Suites in Birmingham, England. There will the usual events and goodies with only a small incrase in price, £16 for adults and £8 for children. Here is there full announcement:

Yes, it’s finally here! We are pleased to announce that Auto Assembly 2008 has been confirmed for Saturday 2nd August 2008 and will once again be taking place at the Clarendon Suites right here in Birmingham, England. After taking a much needed year off, we’re back and hoping to bring you the biggest and best Auto Assembly convention EVER with loads of activities, and what could well be our biggest guest line-up to-date…

This time we’re running the event to raise funds for Help A Local Child (formerly known as Cash For Kids) – a local children’s charity founded by BRMB radio station – through a charity auction and raffle and any excess funds left over from the convention.

Help a Local Child was launched in 1994 with a commitment to helping the children and young people of the West Midlands, who experience the negative effects of poverty, abuse, neglect, homelessness, violence, crime, illness and disability. There are many children in and around the Birmingham area who are carers for their own parents or who are indirect victims of domestic violence or suffer daily pain due to illness. In this world of glamour and gain, these are the children that BRMB want to help. Their focus is local fundraising, with all money raised being awarded locally and really benefiting our community. With the help and support of their listeners, local celebrities, corporate partners, volunteers, and their employees, the fundraising year on year will help more and more children in the area, enabling them to achieve dreams and ambitions they would never have thought possible.

Back to next year’s convention and we’re going to be having the usual mix of activities – plenty of dealers, video screenings, a bar or two(!), toy and art displays, competitions and guest talks. We’re hoping to have our usual mix of UK comic guests including all of our “regulars”, another voice actor (who we will announce as soon as possible) but this time we want to have the biggest guest line-up ever at a British Transformers convention!

In 2005 Auto Assembly was the biggest ever held in Europe with 409 fans attending and last year we had 400 attendees and we are confident that we’re going to smash the European record next year. Every year we have a fantastic amount of interest for the convention with fans booking up from across Europe and as far afield as Australia and America!

We’ll be producing another issue of our fanzine, The Cybertronian Times, producing another one of our infamous “goodie bags” with plenty of great free gifts including two more convention exclusive postcards, and much more!

Anyway, we hope to see many of you there next year and feel free to get in touch if you want to know more! There will be full information about next year’s convention going on the website over the coming days and weeks and bookings will be open in the next week or so!

As well as this good news, the first THREE guests have been revealed as well. Comic artists Simon Williams, Lew Stringer and Any Wildman will all be coming. Simon and Any have both been to many Auto Assembly’s before whilst this is Lew’s first time.
